1. Agreement to Terms

StealthLynk, US ("Company," "we," "us," or "our") provides the PhotoLynk application and related services (collectively, the "Service"). These Terms of Service ("Terms") constitute a legally binding agreement between you and StealthLynk, US governing your use of the Service.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

PhotoLynk is a photo and video backup application that operates in three modes:

• Local Mode: Backup to a server you own and operate on your local network.
• Remote Mode: Backup to a server you own and operate, accessible over the internet.
• StealthCloud Mode: Backup to StealthLynk-operated infrastructure with end-to-end encryption.

The Service also includes features such as duplicate file detection and removal ("Clean Duplicates").

3. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

4. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

5. Subscriptions, Payments, and In-App Purchases

5.1 Subscription Plans

StealthCloud mode and certain premium features require a paid subscription. Subscription plans, pricing, and storage limits are displayed in the application prior to purchase.

5.2 Billing and Payment Processing

Subscriptions and in-app purchases are billed through the platform where you obtained the application (e.g., Apple App Store, Google Play Store). All payments are processed by these third-party platforms according to their respective terms and policies. StealthLynk, US does not directly process payment card information.

5.3 Auto-Renewal

By subscribing, you acknowledge and agree that:

• Automatic Renewal: Your subscription will automatically renew at the end of each billing period (monthly or annually, as applicable) unless you cancel it
• Renewal Charge: Your payment method will be automatically charged the then-current subscription price at the start of each renewal period
• Price Changes: Subscription prices may change. You will be notified of any price changes in advance, and the new price will apply to your next renewal period
• Cancellation Deadline: To avoid being charged for the next billing period, you must cancel your subscription at least 24 hours before the current period ends
• No Partial Refunds: If you cancel mid-period, you will retain access until the end of your current billing period, but no partial refunds will be issued

5.4 Free Trial

We may offer a free trial period for new subscribers. By starting a free trial, you acknowledge and agree that:

• At the end of the trial period, your subscription will automatically convert to a paid subscription unless cancelled before the trial ends
• You must cancel at least 24 hours before the trial period ends to avoid being charged
• Any unused portion of a free trial will be forfeited when you purchase a subscription

5.5 How to Cancel

You may cancel your subscription at any time through:

• Mobile: Your device's app store subscription settings (not within the app itself)
• Desktop: The subscription management section within the application

Deleting the application does not cancel your subscription. You must explicitly cancel through the appropriate platform.

5.6 Refunds

All subscription charges are final and non-refundable, except as required by applicable law. Refund requests are subject to the policies of the platform through which you subscribed. StealthLynk, US does not directly issue refunds for purchases made through third-party platforms.

5.7 In-App Purchases (Photo Verification and Premium Features)

The Service offers in-app purchases for photo verification credits and premium feature upgrades. By making such purchases, you acknowledge and agree that:

5.7.1 Photo Verification Credit — $15.00 USD (Consumable)

• This is a consumable in-app purchase that adds $15.00 credit to your account balance
• Credit is used to pay for photo certification services ("Certify Original"), which create tamper-evident digital proofs of your photographs including cryptographic hashes, RFC 3161 trusted timestamps, and C2PA provenance manifests
• The cost of each certification varies based on file size and storage method selected
• Credit balance is deducted at the time of certification and is non-refundable once used
• Unused credit remains in your account and does not expire
• Credit purchases are final and non-refundable, except as required by applicable law
• You may purchase multiple credit packages; each purchase adds to your total balance

5.7.2 Premium — $49.99 USD (Non-Consumable, One-Time)

• This is a non-consumable one-time purchase that unlocks premium features for the lifetime of the product
• Premium features include: 100 GB of end-to-end encrypted cloud storage for 4 years, 25 free photo certifications, 250 commission-free certifications, and full access across all supported platforms and devices
• Premium is a one-time payment — it does not auto-renew and requires no recurring charges
• Premium purchases are final and non-refundable, except as required by applicable law
• Premium status applies to your account across all platforms where you are logged in
• Premium features are subject to change; we reserve the right to modify, add, or remove features with reasonable notice

5.7.3 General Terms for In-App Purchases

• All in-app purchases are processed through the platform's payment system (Apple App Store or Google Play Store)
• Refund requests must be submitted through the platform where you made the purchase; we do not directly process refunds
• Prices are subject to change; you will be charged the price displayed at the time of purchase
• Storage costs and third-party service fees are beyond our control and may vary
• We make no guarantees regarding the uninterrupted availability or performance of certification services
• You are responsible for maintaining access to your account and any certification records

5.7.4 Digital Certificates and Content

The Service creates digital certificates of authenticity for your photographs. By using this feature, you acknowledge and agree that:

• All certification fees are final and non-refundable
• Digital certificates are created for personal and professional use to establish provenance and authenticity of your photographs
• Certificates rely on third-party services (e.g., RFC 3161 timestamp authorities) that are subject to availability and conditions beyond our control
• We make no guarantees regarding the perpetual availability of third-party verification infrastructure
• You are responsible for maintaining access to your account and any associated certificate records

5.8 Service Availability

StealthLynk, US takes all reasonable measures to maintain server availability, service continuity, and data integrity. However, we do not guarantee uninterrupted service and are not liable for any downtime or service interruptions.

6. User Responsibilities

You are solely responsible for:

• Your Data: All content you upload, store, or transmit through the Service
• Backups: Maintaining independent backups of your important data
• Security: Protecting your account credentials and device security
• Self-Hosted Servers: All aspects of servers you own and operate (Local/Remote modes)
• Compliance: Ensuring your use complies with all applicable laws and regulations
• Content Legality: Ensuring all content you store is legal and does not infringe third-party rights

6.1 Credential and Device Security

To protect your data from unauthorized access or theft, you must:

• Never share your account credentials (email and password) with any other person
• Never grant device access to individuals you do not fully trust, as anyone with physical access to your device may be able to access, modify, or delete your backed-up data
• Use strong, unique passwords that are not used for other services
• Enable device-level security such as passcodes, biometric authentication, or encryption on your mobile device
• Log out of the application if you suspect your device has been compromised or accessed by unauthorized parties

StealthLynk, US is not liable for any data theft, unauthorized access, data loss, or privacy breaches resulting from shared credentials, compromised devices, or failure to maintain adequate security practices. You assume full responsibility for all activities conducted through your account, regardless of whether such activities were authorized by you.

6.2 Android Password Reset Limitations

On Android devices, password reset functionality is tied to a device-specific identifier. By using the Service on Android, you acknowledge and agree that:

• Upgrading to a major new Android OS version may reset the device identifier used for password recovery
• Performing a factory reset will reset the device identifier
• If the device identifier changes and you have forgotten your password, you will be unable to reset your password and may permanently lose access to your backed-up data
• StealthLynk, US is not liable for any data loss resulting from forgotten passwords after Android OS upgrades or factory resets
• You are strongly advised to securely store your password before performing any Android OS upgrade or factory reset

This limitation does not apply to iOS devices, where the device identifier persists across OS updates.

6.3 Device Erase and Forgotten Credentials

By using the Service, you acknowledge and agree that:

• Password reset requires verification on the original device
• A full device erase may remove the identifiers needed for password reset
• If you erase your device and have forgotten your password, StealthLynk, US cannot restore access to your backed-up data
• You are solely responsible for securely storing your credentials and maintaining device access
• StealthLynk, US is not liable for any data loss resulting from forgotten credentials, device erasure, or loss of device access

6.4 Encryption Bound to Your Credentials and Device

By using the Service, you acknowledge and agree that:

• StealthLynk does not possess or retain your decryption keys and cannot access your content
• If you lose your credentials or device-bound verification, your encrypted backups may become permanently inaccessible
• You are solely responsible for safeguarding credentials and maintaining device access
• StealthLynk, US disclaims all liability for data loss or inability to decrypt data arising from lost credentials, lost devices, or loss of device-bound identifiers, to the maximum extent permitted by applicable law worldwide
• The Service provides secure, reliable cloud storage; ultimate control of access and recovery rests with you

7. Clean Duplicates Feature

The Clean Duplicates feature identifies and removes duplicate files based on content hash (SHA-256). By using this feature, you acknowledge and agree that:

• The feature requires your explicit confirmation before deleting any files
• Depending on your operating system version and configuration, deleted files may or may not be moved to the system trash/Recently Deleted folder
• On some OS versions, files may be permanently deleted without being moved to trash
• The oldest file in each duplicate group is retained; newer duplicates are deleted
• StealthLynk, US is not liable for any files deleted by this feature, whether or not they are recoverable
• You should review duplicate groups before confirming deletion
• You are solely responsible for any data loss resulting from use of this feature
• Operating system updates may change trash/deletion behavior without notice

8. Fast Mode and Device Performance

The Service includes a "Fast Mode" option that maximizes backup speed. By enabling Fast Mode, you acknowledge and agree that:

• Fast Mode increases CPU utilization and may cause your device to heat up
• Extended use of Fast Mode may result in significant battery drain
• Prolonged high temperatures may affect device performance or longevity
• StealthLynk, US is not responsible for any device damage, battery degradation, overheating, or performance issues resulting from use of Fast Mode
• You use Fast Mode at your own risk and discretion
• We recommend using Fast Mode only when your device is plugged in and adequately ventilated

9. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload, store, or transmit any content that infringes intellectual property rights
• Upload, store, or transmit any illegal, harmful, or objectionable content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to distribute malware or harmful code
• Resell or redistribute the Service without authorization

10. Intellectual Property

The Service, including its design, features, and content (excluding user content), is owned by StealthLynk, US and protected by intellectual property laws. You retain ownership of content you upload but grant us a limited license to store and transmit it as necessary to provide the Service.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STEALTHLYNK, US EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• TITLE AND NON-INFRINGEMENT
• WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE

WE DO NOT WARRANT THAT:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• Any data stored will be accurate, reliable, or complete
• Any errors or defects will be corrected
• The Service will be free from viruses or harmful components

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

STEALTHLYNK, US, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your data
• Damages resulting from interruption or cessation of the Service
• Damages resulting from any content or conduct of third parties
• Data loss, corruption, or deletion, regardless of cause
• Any damages arising from use of the Clean Duplicates feature
• Any damages arising from use of Fast Mode, including device overheating, battery degradation, or hardware damage
• Any damages arising from self-hosted server failures (Local/Remote modes)
• Any damages arising from operating system updates, platform changes, or regulatory requirements

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

MAXIMUM LIABILITY: In no event shall our total cumulative liability exceed the greater of: (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100.00).

13. Force Majeure and External Changes

StealthLynk, US shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of God, war, terrorism, civil unrest, government actions, epidemics, pandemics, power outages, telecommunications failures, internet disruptions, cyberattacks, or third-party service provider failures.

Operating System and Platform Changes: Changes to iOS, Android, or other operating systems, app store policies, or platform APIs may affect the Service's functionality in unpredictable ways. StealthLynk, US is not liable for any service disruption, feature loss, or data issues resulting from such changes.

Regulatory Changes: Changes in laws, regulations, or government policies in any jurisdiction may require us to modify, suspend, or discontinue the Service or certain features. StealthLynk, US is not liable for any impact resulting from compliance with such regulatory requirements.

14. Indemnification

You agree to indemnify, defend, and hold harmless StealthLynk, US and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you upload, store, or transmit
• Your negligence or willful misconduct

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and associated data
• Provisions that by their nature should survive termination shall survive

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.

Arbitration: Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its rules, except where prohibited by law. The arbitration shall be conducted in English. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and StealthLynk, US regarding the Service and supersede all prior agreements and understandings.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
